Public Offer for Educational Services
Website: https://ubcollege.com.ua
Effective date: when this version is published on the Website.
1. Parties and subject of the agreement
1.1. This document is a public offer by individual entrepreneur Bakumenko Iryna Volodymyrivna, Ukrainian taxpayer identification number 2255701788 (the Provider), to enter into an agreement for educational services on the terms below.
1.2. The Provider offers foreign language courses and examination preparation under the Ukrainian-British College (UBC) brand, online or in person. The specific course, language, format, lesson length and number of lessons, group or individual format, timetable, study period and price are communicated to and agreed with the Customer before payment.
1.3. The Customer is an adult who orders and pays for services for themselves or for a student whom they legally represent. The Student is the person who receives the lessons. If the Student is a minor, the Customer is their parent or another legal guardian.
1.4. Submitting an enquiry or taking an initial placement test does not oblige the Customer to buy a course and does not in itself form a paid agreement. After agreeing on the course, price and timetable, the Customer accepts this offer by paying for the relevant services, provided that they had an opportunity to read its terms before paying. The payment confirmation and the individually agreed study arrangements together form the terms of the agreement.
2. Enrolment and lessons
2.1. To recommend a suitable course, the Provider may offer a placement test and/or an interview. Once the Student's level has been assessed, the parties agree on the course, study format, timetable and start date. Enrolment in a particular group depends on available places and the Student's suitability for that group's level.
2.2. Lessons are delivered by teachers engaged by the Provider. The Provider may replace a teacher while maintaining the agreed format and appropriate quality of teaching. The Customer will be informed of material timetable changes through the agreed communication channel.
2.3. For online lessons, the Customer must ensure that the Student has a suitable device, an internet connection and access to the agreed video conferencing service. If a lesson does not take place for reasons attributable to the Provider, section 5 applies.
2.4. The Provider does not guarantee a particular examination score or another outcome that also depends on the Student's initial level, attendance, independent work and the examination body's rules. The Provider's obligation is to deliver the agreed programme of lessons to an appropriate standard.
3. Prices and payment
3.1. The price of the services is the price communicated to the Customer before payment. Group lessons may be paid for by study period; individual lessons may be paid for separately or as part of an agreed package. The amount payable, number of lessons and period covered by a payment must be clear to the Customer before they pay.
3.2. Payment is made using a method offered by the Provider, including a bank transfer to the Provider's account or an available payment service. Where the law requires a payment receipt or other transaction document, the Provider will issue it in accordance with the applicable rules.
3.3. Any change in price for future study periods will be communicated before payment for those periods. A period already paid for will not be repriced without the Customer's agreement, except where expressly required by law.
4. Rights and responsibilities
4.1. The Provider organises the agreed lessons, communicates the timetable and any changes, provides information about the Student's studies, and reviews the Customer's enquiries about service quality, missed lessons and payments.
4.2. The Customer pays for the agreed services on time, provides up-to-date contact details, supports the Student's attendance and informs the school if the Student cannot attend. The Student follows the rules of conduct during lessons and treats other participants with respect.
4.3. The processing of personal data is governed by the Privacy Policy available on the Website. Photos or videos that identify a Student will be published only where there is an appropriate basis; the rights of a minor Student's legal guardian will be taken into account.
5. Cancellation or rescheduling by the Provider
5.1. If a teacher is ill or a lesson cannot take place for another reason attributable to the Provider, the school will inform the Customer and offer to reschedule it at an agreed time or arrange a lesson with another teacher.
5.2. If a replacement lesson or a new time cannot be agreed, the cost of the undelivered lesson will, with the Customer's agreement, be credited towards the next payment or refunded. A lesson that does not take place for reasons attributable to the Provider is not treated or charged as a delivered lesson.
6. Lessons missed by the Student
6.1. If the Student cannot attend a lesson, please inform the school through the usual communication channel as early as possible. For an individual lesson, the parties may agree on a new time. For a group lesson, the school will advise on available ways to catch up on the material.
6.2. If the Student misses group lessons due to illness, the Provider will make an adjustment for up to three missed lessons within one paid month. The adjustment reduces the next monthly payment. If the Student stops studying, it will be included in the final calculation and refunded to the Customer.
6.3. For the illness-related absences described in clause 6.2, the adjustment is 10% of the monthly tuition fee for the month in which the Student was ill. This is one adjustment for that month: 10% is not deducted separately for each missed lesson. For example, if the monthly fee was UAH 3,000, the next payment is reduced by UAH 300.
6.4. Other absences and the rescheduling of individual lessons are handled under the agreed timetable and any separate arrangements between the parties. Before payment, the school will inform the Customer if additional notice requirements apply to a particular course or format.
7. Ending studies and refunds
7.1. The Customer may inform the Provider that the Student is ending their studies using the contact details in section 10. The parties will review the number of lessons actually delivered, the amount paid in advance and any adjustments provided for in this offer.
7.2. Payment for lessons that were not delivered and are not chargeable under the agreed terms will be refunded to the Customer. Payment for lessons that were delivered to an appropriate standard will not be refunded; this does not limit the Customer's legal rights if the services were of inadequate quality.
7.3. With the Customer's agreement, unused prepayment may be credited towards future lessons. If the Customer requests a refund, the Provider will arrange it to the original payment method where technically possible. If a refund to the original card is not possible, the parties will agree on a refund to a bank account specified by the payer.
7.4. After receiving the request and the necessary payment details, the Provider will inform the Customer of the final amount and make the refund without undue delay, subject to legal requirements and the processing times of the bank or payment service.
8. Enquiries and disputes
8.1. For questions about lessons, payments, rescheduling or refunds, the Customer may contact info@ubcollege.co or +380 50 302 5086. To verify a payment, the school may ask for its date, amount and proof of payment.
8.2. The parties will seek to resolve disputes through discussion. If they cannot reach an agreement, disputes are resolved in accordance with Ukrainian law. Nothing in this offer limits mandatory consumer rights provided by law.
9. Duration and amendments
9.1. This offer takes effect when it is published on the Website. For a particular paid study period, the applicable terms are the version made available to the Customer when they paid and the arrangements agreed individually for that period.
9.2. The Provider may amend this offer for future orders by publishing a new version with its effective date. Amendments do not remove the Customer's rights in respect of services already paid for.
